Şirketimizin 08.06.2026 tarihli KAP açıklamasında da duyurulduğu üzere; yenilenebilir enerji alanındaki yatırımlarını artırma hedefi doğrultusunda, Denizli ve Manisa illerinde yer alan toplam kurulu güç potansiyeli 505 MWm olan 9 adet Jeotermal Kaynak Ruhsatının devralınmasına ilişkin olarak, sözleşme imzalanmış devirleri 22.04.2026 tarihinde tamamlanmıştı.

Ruhsat sahalarında gerçekleştirilecek farklı derinliklerdeki üretim ve enjeksiyon kuyuları sondaj faaliyetleri kapsamında; değişik kapasitelerde sondaj kulesi ve personeli temini ile servis hizmetleri ve sarf malzemelerinin sağlanmasına yönelik olarak Türkiye'de yerleşik bir şirket ile bugün, 5+5 toplam 10 adet sondaj yapılması için sondaj kulesi hizmet sözleşmesi imzalanmıştır.

Bu kapsamda, jeotermal projeleri yatırımlarına başlanmış olup, 20.07.2026 tarihinde açıklamış olduğumuz Jeotermal Sondaj Proje Yönetimi ve Kuyu Mühendisliği Hizmet Sözleşmesi ile Sondaj Hizmetleri Sözleşmesi işveren mühendisliği ve denetim şirketinin gözetiminde sondaj çalışmalarına başlanmıştır.

Yatırımlarını tamamlaması durumunda, kabul tarihinden itibaren 5 yıl süreyle yerli katkı ilavesi dâhil ortalama 12,50 USD cent/kWh, izleyen yıllarda ise ortalama 10,50 USD cent/kWh bedel üzerinden, 5346 sayılı YEK Kanunu kapsamında toplam 15 yıl süreyle devlet alım garantisi altında elektrik satışının gerçekleştirilmesi öngörülmektedir. Jeotermal santrallerden yıllık brüt yaklaşık 3.863.250.000 kWh elektrik üretimi beklenmektedir. Potansiyel ek gelirler hariç olmak üzere sadece elektrik üretiminden, ilk 5 yıl yerli katkı ilavesi dâhil yıllık yaklaşık 462.850.000 satış geliri ile yaklaşık 370.250.000 USD FAVÖK öngörülmektedir. İlk 5 yıllık sürenin sona ermesini takiben ise, söz konusu santrallerden sadece elektrik üretiminden yıllık toplam yaklaşık 405.000.000 USD satış geliri ile yaklaşık 324.000.000 USD FAVÖK beklenmektedir.

Potansiyel kapasiteye ulaşması halinde jeotermal elektrik santrallerinin toplam yatırım bedelinin yaklaşık 2.000.000.000 USD(İki Milyar Amerikan Doları)'na ulaşması beklenmektedir.

As announced in our Company's Public Disclosure Platform (KAP) disclosure dated 08.06.2026, in line with its objective of increasing its investments in the renewable energy sector, an agreement was signed for the acquisition of 9 Geothermal Resource Licenses located in the provinces of Denizli and Manisa, with a total installed capacity potential of 505 MWm, and the transfers were completed on 22.04.2026.

Within the scope of drilling activities for production and injection wells to be carried out at different depths in the licensed fields, a drilling rig services agreement has been signed today with a company established in Türkiye for the provision of drilling rigs and personnel with different capacities, as well as related services and consumable materials, for a total of 10 drilling operations (5+5).

In this context, investments in the geothermal projects have commenced, and drilling activities have been initiated under the supervision of the employer's engineering and supervision company pursuant to the Geothermal Drilling Project Management and Well Engineering Services Agreement and the Drilling Services Agreement, both of which were announced on 20.07.2026.

Upon completion of the investments, electricity sales are expected to be carried out under the state purchase guarantee provided pursuant to Law No. 5346 for a total period of 15 years, at an average price of USD 12.50 cents/kWh, including the domestic contribution incentive, for a period of 5 years from the acceptance date, and at an average price of USD 10.50 cents/kWh for the following years. The geothermal power plants are expected to generate approximately 3,863,250,000 kWh of gross electricity annually.

Excluding potential additional revenues, electricity generation alone is projected to generate annual sales revenue of approximately USD 462,850,000 and EBITDA of approximately USD 370,250,000 during the first 5 years, including the domestic contribution incentive. Following the completion of the first 5-year period, annual sales revenue of approximately USD 405,000,000 and EBITDA of approximately USD 324,000,000 are expected solely from electricity generation at the relevant power plants.

Upon reaching the potential capacity, the total investment amount of the geothermal power plants is expected to reach approximately USD 2,000,000,000 (Two Billion United States Dollars).
